Occasionally, internal restructuring has to take place before the actual transaction in order to separate or bundle the sold business units. If GmbH shares or real estate are transferred or transformation measures (mergers, demergers, change of legal form) become necessary, this also requires notarial support. This also applies to measures under group law that become necessary in the sold structure, e.g. if control or profit transfer agreements are amended or canceled.<\/p>\n\n

Involving the notary in M&A transactions at an early stage not only helps to shorten the notarization time, the notary can also provide information on where the notarization costs may change as a result of slightly different arrangements. Feel free to contact us even if the contracts are still a long way from being finalized. The notary must work through the drafted contracts and decide which annexes must be read out, which only serve as evidence or are subject to simplified notarization. We can then discuss whether attachments can (and may) be outsourced to a reference deed, for example, or which notarization procedures are suitable to shorten the actual notarization time. Of course, we and our experienced back office team can also carry out notarizations at very short notice for a large number of contracts and attachments sent to us. <\/p>\n\n
